These Terms & Conditions govern your access to and use of the PlexoBio platform (the “Platform”). By creating an account, accessing the Platform, or using its services, you agree to be bound by these Terms.
If you do not agree, you must not use the Platform.
Platform – the PlexoBio website and associated services connecting Providers with Clients.
Client – any user seeking or purchasing biotech/life-science-related services.
Provider - Expert – any user offering scientific, technical, analytical, experimental, consulting, or related professional services.
User – any individual or entity accessing the Platform, including both Clients and Providers.
Service Agreement – the contractual arrangement directly between Client and Provider for any service engagement.
Content – any text, data, files, methods, protocols, analyses, media, or scientific materials uploaded or shared via the Platform.
3.1
PlexoBio provides a digital marketplace facilitating the discovery, communication, and contracting between Clients and Providers in the biotech/life sciences sector.
3.2
PlexoBio is not a party to any Service Agreement between Users. All services, deliverables, timelines, compliance obligations, and payments are solely between the Client and the Provider.
3.3
PlexoBio does not validate scientific claims, guarantee experimental outcomes, or supervise Provider performance. The Platform provides tools, not scientific oversight.
4.1
Users must be at least 18 years old, legally capable of entering binding contracts, and, where applicable, authorized on behalf of an organization.
4.2
Biotech and pharmaceutical activities may require specific regulatory, ethical, biosafety, or institutional approvals. Users are responsible for ensuring compliance with all applicable laws (e.g., EU GMP, GLP, CLP, REACH, bioethics, data protection, export control).
4.3
PlexoBio may request proof of identity, credentials, business registration, or qualifications.
5.1
Users must provide accurate, complete, and up-to-date registration information.
5.2
Users are responsible for maintaining account confidentiality and for all activities under their account.
5.3
PlexoBio may suspend or terminate accounts that violate these Terms or applicable laws.
6.1
Clients may request quotes, proposals, or project discussions from Providers.
6.2
Once a Client accepts a Provider’s proposal, or both parties mutually agree in writing (via Platform messaging or uploaded documentation), a Service Agreement is formed between the Client and the Provider only.
6.3
PlexoBio does not:
supervise project execution
warrant deliverables
provide regulatory, ethical, or scientific validation
act as employer, contractor, or agent of any User
7.1
Clients agree to pay Providers according to the terms of the Service Agreement.
7.2
PlexoBio may offer payment processing, escrow, invoicing, or milestone systems. Fees and deductions, if applicable, will be communicated transparently.
7.3
PlexoBio is not responsible for:
payment disputes between Users
tax obligations of Users
conversion or international financial charges
7.4
Users must comply with tax laws applicable to their jurisdiction.
Users retain ownership of all Content they submit. By uploading Content, Users grant PlexoBio a limited, non-exclusive license solely to operate and improve the Platform.
8.2.1
Users must treat all exchanged non-public information as confidential.
8.2.2
The Platform is not responsible for unauthorized disclosure by Users.
8.2.3
Users may use NDAs (non-disclosure agreements). PlexoBio provides NDA templates as a convenience but does not warrant their legal sufficiency.
IP ownership in project deliverables is governed by the Service Agreement between Client and Provider. PlexoBio is not a party and claims no rights to deliverables.
Users may not upload:
hazardous biological materials
proprietary sequences, data, or methods without authorization
unlawful, unethical, or export-restricted materials
dangerous research instructions
Use the Platform for illegal, unethical, or biosafety-noncompliant activities
Share false scientific credentials
Bypass the Platform’s payment systems (if applicable)
Provide incomplete or misleading project information
Upload malware or harmful code
Engage in harassment or abusive behavior
10.1
Users acknowledge that biotech work may involve regulated substances, animal experiments, human data, genetic manipulation, or controlled laboratory processes.
10.2
Users are solely responsible for ensuring that:
all work complies with local and international laws
necessary approvals (IRB/IEC, biosafety committee, ethical boards, import/export permissions) are obtained
materials are shipped lawfully
experiments adhere to GLP/GMP or equivalent standards when required
10.3
PlexoBio does not:
verify lab compliance
handle biological materials
approve experimental designs
guarantee scientific reproducibility
11.1
Users may leave ratings and public reviews.
11.2
Feedback must be truthful and not defamatory.
11.3
PlexoBio may moderate reviews for violations of platform guidelines.
To the maximum extent permitted by law:
12.1
PlexoBio provides the Platform “as is” and “as available.”
12.2
PlexoBio is not liable for:
scientific errors, failed experiments, or inaccurate results
regulatory or legal noncompliance by Users
financial losses arising from User agreements
damages resulting from reliance on scientific advice provided by Users
loss of data not attributable to PlexoBio’s intentional misconduct
12.3
PlexoBio’s liability is limited to cases of intent or gross negligence in accordance with German law (§ 521 BGB, § 276 BGB).
12.4
PlexoBio is not liable for disruptions caused by:
force majeure
cyber-attacks
maintenance or technical interruptions
13.1
PlexoBio is not responsible for disputes between Clients and Providers but may offer optional mediation tools.
13.2
German law applies.
13.3
The place of jurisdiction is Mannheim, Germany, unless mandatory law dictates otherwise.
Users may terminate their accounts at any time.
PlexoBio may suspend or terminate accounts for:
legal violations
platform abuse
failure to provide accurate information
regulatory risk concerns
Termination does not release Users from obligations arising under existing Service Agreements.
15.1
PlexoBio processes personal data in accordance with the EU General Data Protection Regulation (GDPR) and the German BDSG.
15.2
The Platform’s Privacy Policy explains what data is collected, how it is used, and Users’ rights.
15.3
Users are responsible for ensuring that any biological, clinical, or personal data they upload is lawfully processed and shared.
PlexoBio may update these Terms to reflect legal, technical, or business changes. Users will be notified of material changes and continued use constitutes acceptance.
If any provision is found invalid, the remainder of the Terms remains in effect.
